D. Governed by Laws of New York

This Agreement and any claim or dispute relating to it will be governed by the laws of the State of New York applicable to contracts made and performed there without regard to its conflicts of law principles. You agree to submit to the personal jurisdiction of the courts of the State of New York.

E. Severability

If any provision of the Agreement will be unlawful, void or for any reason unenforceable, then that provision will be deemed severed from this Agreement and will not affect the validity and enforceability of any remaining provisions.
